POSITION SUMMARY

As Corporate Securities Counsel, you will report to the Vice President, General Counsel, Global Corporate, with dotted line reporting to Chief Legal Officer, and assist others within the Vertiv Global Legal Department in support of Vertiv’s SEC reporting (’33 and ’34 Act), NYSE and global securities requirements, executive compensation, corporate governance matters, corporate policies, and M&A transactions.

The Corporate Securities Counsel will interact with our management, and business associates on the finance, accounting, investor relations, and strategy and business development teams, as well as with myriad of external legal service providers, and other individuals depending on the issue at hand.

RESPONSIBILITIES

  • Vertiv’s SEC periodic and current reports, including, but not limited to, Forms 8-K, 10-Q, 10-K, Forms 3/4/5, S-8, S-4 and proxy statements;
  • Effectively provide support on M&A activities, including, but not limited to, transaction agreements, due diligence and post-closing integration or divestment process;
  • Support corporate governance, NYSE and global securities compliance, and best practices;
  • Support the corporate secretarial function, including review and preparation of board and committee materials and assisting with preparation for annual stockholder meetings;
  • Advise on investor relations matters, including review of earnings announcements and scripts, press releases, and other investor communications;
  • Assist with executive compensation related matters; 
  • Understand the intricacies of Vertiv’s business operations and strategic objectives and how they should be represented through the legal department; and
  • Provide guidance and assistance to internal departments such as finance, accounting, investor relations, and our strategy and business development teams on legal matters, as applicable.

QUALIFICATIONS

Minimum Qualifications:

  • Demonstrated experience in preparing and reviewing ’33 and ’34 Act periodic and current reports, including, but not limited to, Forms 8-K, 10-Q, 10-K, Forms 3/4/5, S-8, S-4 and proxy statements;
  • Some experience relating to M&A, including due diligence and post-acquisition integration or divestiture activities
  • Ability to interpret and apply regulatory requirements, including SEC and other regulatory requirements applicable to publicly-traded companies, such as Sarbanes-Oxley Act, Dodd-Frank Act, NYSE listing standards, Regulation FD, Regulation S-K, and Regulation M-A
  • Juris Doctorate from a nationally-accredited law school with strong academic credentials
  • Member in good standing of a state bar.
  • 4-7 years of relevant experience in a large law firm or in-house publicly traded company having substantial domestic and international operations.
  • Demonstrated work experience in preparing and reviewing SEC filings, including Forms 8-K, 10-Q, 10-K, Forms 3/4/5, S-8, S-4 and proxy statements.
  • Prefer (but not required) knowledge of and experience working with Microsoft Office Suite, EDGAR, and Workiva.
  • Ability to perform legal research and compile, analyze and interpret data. Requires strong analytical and communication skills and attention to detail.
