The Role:
The role is an exciting opportunity to become an integral component of the legal and business operations of a leading high-growth company in the biotech industry. We need a pragmatic, business-minded professional with excellent written and verbal communication skills, and strong attention to detail to provide comprehensive support across licensing, collaboration, M&A, CMC and commercial partnership agreements, as well as create and improve processes and practices to improve the day-to-day efficiency and effectiveness of the legal team. The successful candidate will be responsible for supporting the attorneys in the Business Development and Licensing Legal team across all areas of their practice (e.g., support in negotiations, conducting due diligence, leading substantive issues in disclosure schedules and ancillary agreements, conducting legal research), reviewing and responding to requests for contract initiation and review, generating agreements using legal templates, negotiating the terms of routine agreements, and updating the company’s contracts management system with key agreement terms. In addition, the successful candidate will support legal team budget management, administrative matters, pro-actively identify and implement process improvements, prepare reports and presentation materials, and help coordinate the efforts of the legal team towards achieving short- and long-term goals.
Here’s What You’ll Do:
Support attorneys during negotiations and drafting of strategic agreements
Conduct due diligence on potential counterparties
Conduct factual and legal research on important matters
Manage the intake of requests for contract initiation through the company’s contract management system and oversee the progression of a high volume of contracts through to finalization and archiving
Draft, review, and assist with the negotiation of CDAs, MSAs, MSAs, renewals, amendments and other routine agreements, and assign other incoming matters to the appropriate members of the legal team
Manage the approval, signature, and archiving processes
Assist in identifying and executing strategic and process improvement projects, measuring progress, and continually using data to inform next steps
Prepare a variety of reports for tracking and documenting legal team activities to improve efficiency and cost-effectiveness
Assist with budget matters and optimizing workflows within the legal department and conduct financial analysis on outside counsel spend using the company’s e-billing system
Assist with administrative matters
Educate others on core contract management processes for the generation, execution and maintenance of contracts
Work closely with members of other departments to help ensure compliance with cross-functional policies and procedures
Manage contract template processes, including systematic reviews of templates and playbooks, and incorporation of best contracting practices and provisions
Support legal team members on special projects and be willing to grow and take on additional responsibilities
Here’s What You’ll Bring to the Table:
Bachelor’s degree or equivalent.
Minimum of 3-7 years of paralegal experience, preferably within a leading life sciences corporate law firm, or a legal department in the pharmaceutical or biotechnology industry
Experience managing the intake, processing, digital execution and tracking of a large number of agreements using a contract management software system; experience with Agiloft contract management software a plus
Ability to draft contracts, renewals, statements of work, amendments, etc. from templates, and review and negotiate basic contracts, including CDAs, MTAs, Services Agreements and Consulting Agreements
Strong organization and project management skills, excellent judgment, and a great deal of resourcefulness
Ability to manage and prioritize multiple matters simultaneously and to respond to rapidly shifting priorities in ambiguous or challenging situations
Strong verbal and written communication skills, including proven ability to interact and communicate effectively with individuals from multiple departments at all levels of the organization
Ability to handle confidential and proprietary information using impeccable discretion and judgment
Comfortable working in a fast-paced, high-energy environment that requires strong organization, prioritization and attention to detail.
