Sr. CounselPosition Description/Job Responsibilities
- Responsibility for KBR’s dynamic and growing Integrated Solutions Americas team by advising internal clients on all aspects of contract requirements, timely and detailed review and redlining, or drafting, of complex contract templates in accordance with KBR risk and commercial requirements, successful negotiation of such contracts with clients, and effective and responsive support to the project teams during project execution.
- Proven successful team player and team-builder who can coordinate, interact, and work as a key player in the KBR corporate team.
- Experience with broad-based first chair transactional experience with EPC or EPCM projects, particularly LNG with U.S. energy major clients. This role requires significant experience and immediate ability to review and redline complex EPC and EPCM contracts and take the lead in negotiations with clients and their outside counsel (including global law firms), with a detailed understanding of risk mitigation, corporate funding, project finance, FERC and lender issues.
- Expertise in indemnification (including anti-indemnity laws), risk management and limitation on liability concepts and drafting.
- Expertise in drafting commercial and operational mitigations to contract terms.
- Identification of issues requiring KBR outside counsel involvement, with cost-effective control and management of outside counsel services.
- Timely and comprehensive corporate reporting responsibilities, including regular reporting to legal and corporate management on status of all work.
- Identification, management, and resolution of Code of Business Conduct, compliance, anti-corruption and export compliance matters by working closely with the respective corporate departments to investigate and resolve.
- Creative resolution of business or technical issues in execution by identifying legal solutions and recommending a practical course of action to management.
Requirements and Qualifications
- J.D. degree from an ABA-accredited U.S. law school.
- US Citizen.
- License in good standing to practice law in at least one U.S. state, preferably Texas.
- Position is based in the Houston office, but candidate should be willing and able to travel (including internationally) if required.
- Broad-based transactional experience of 10 years or more in the engineering, procurement, and construction/construction management fields (preferably on the contractor side), with specific first chair experience of 10 years or more negotiating complex EPC (LNG) and EPCM contracts and supporting resulting projects.
- In-depth experience with and knowledge of legal and regulatory requirements, including Export Compliance and Anti-Corruption laws.
- Strong business acumen and judgment, including ability to proactively identify commercial and payment issues, draft and negotiate detailed commercial terms and protections, analyze technical and commercial claims, and work within a given budget.
- Executive-level written and verbal communication skills, including the ability to communicate and interact effectively at all levels and across all functions within an organization and the ability to convey complex contract and legal concepts clearly and succinctly.
- Successful organizational, leadership and people management skills, including managing a cohesive, efficient support team producing the highest quality legal work, and demonstrating effective team-centered professional behavior.
